MEDIACAST DIRECT LIMITED TERMS AND CONDITIONS
Mediacast Direct.com website ("Mediacast") is wholly owned and operated by Mediacast Direct Limited ("MCD"). These Terms and Conditions govern your use of the Mediacast and your relationship with MCD. Please read these terms and conditions carefully, they are the terms of use for this site as provided by MCD. If you do not agree to these Terms and Conditions, please do not use the Mediacast. Please note that to use /access any of the full facilitie(s) or service(s) provided on the Mediacast, you are required to register.

Use of mediacastdirect.com website
The use of Mediacast is only for lawful purposes, in a manner, which does not infringe the rights of or restrict or inhibit the use and enjoyment of this site by any third party. Such restriction or inhibition includes, but is not limited to, conduct which is defamatory, or which may harass, cause distress or inconvenience to any person and the transmission of obscene or offensive content or interruption of the normal flow of dialogue within this site.

Mediacast is provided to you for your personal use subject to these Terms and Conditions. By using the Mediacast you agree to be bound by these Terms and Conditions, which take effect on the date on which you first use the website.

Mediacast is made up of a range of free and paid services, including for example, auditions, Acting Agents, subscription packages. These Terms and Conditions govern your use of the Mediacast and all services provided in connection with these areas.

All orders and purchases made on the Mediacast will also be governed by the specific Product Terms relevant to each area of the website.

THESE TERMS AND CONDITIONS DO NOT AFFECT YOUR STATUTORY RIGHTS.

Amendments
MCD reserves the right to change these Terms and Conditions from time to time and any changes will be notified to you via a suitable announcement on Mediacast. It is your responsibility to refer to and comply with these terms on accessing the website and if you do not wish to accept our new terms and conditions you should not continue to use the Mediacast website. Your continued use of the Mediacast website after the date on which the change(s) comes into effect, your continued use of Mediacast constitutes your acceptance to be bound by the new terms and conditions as modified.

Mediacast Service Levels
Although Mediacast aims to offer you the best service possible, Mediacast makes no promise that the services at the Mediacast website meet your requirements. Mediacast takes all reasonable measures to guarantee that the service will be fault free. If a fault occurs in the service(s) you should report it to the Customer services (see below for contact details) or by email info@mediacastdirect.com and we will attempt to correct the fault as soon as we reasonably can.

Your access to the Mediacast maybe occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. Mediacast will attempt to restore the service as soon as it is reasonably possible to do so.

Content Posted on or via the Service
With respect to Content you elect to post for inclusion in publicly accessible areas of the Service that consists of photos or other graphics you elect to post to any other publicly accessible area of the Service, you grant MCD the world-wide, royalty free and non-exclusive license to reproduce, modify, adapt and publish such Content on the Service solely for the purpose of displaying, distributing and promoting the specific service of MCD to which such Content was submitted, or, in the case of photos or graphics, solely for the purpose for which such photo or graphic was submitted to the Service. This license exists only for as long as you elect to continue to include such Content on the Service and shall be terminated at the time you delete such Content from the Service. Adult-oriented content is not permitted at all on MCD.

With respect to all other Content you elect to post to other publicly accessible areas of the Service, you grant MCD the royalty-free, perpetual, irrevocable, non-exclusive and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.

General Practices Regarding Use and Storage
You acknowledge that MCD may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that messages or other uploaded Content will be retained by the Service, the maximum number of messages that may be sent from or received by an account on the Service, the maximum size of any message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on the MCD servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that MCD has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that MCD reserves the right to log off accounts that are inactive for more than 90 days. You further acknowledge that MCD reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Mediacast Direct.com Liability
The information contained on Mediacast and the names, images, pictures, logos and icons relating to Mediacast and/or any of MCD associated companies, products and services (or to third party products and services), is provided "AS IS" and on an "AS AVAILABLE" basis without any representation or endorsement being made and without warranty of any kind, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

In no event will MCD and/or third parties be liable for any damages including, but not limited to, indirect or consequential damages or any damages including, but not limited to, errors or omissions, indirect or consequential damages or any damages whatsoever arising from use, loss of use, data or profits, whether in action of contract, negligence or other action, arising out of or in connection with the use of the site.

Third Party Websites
As a convenience to Mediacst customers, Mediacast includes links to other web sites and or material, which are beyond its control. Mediacast is not responsible for content on the Internet, World Wide Web pages or any other site outside of Mediacast.

Co-branded sites
In addition to provisions of 'Third Party Websites', some third party sites to which links are provided are 'Co-Branded' sites. Third parties, with whom Mediacast has a commercial association, including any websites by means of which you can make payment for use of the Website or associated services, operate any co-branded websites. If you wish to make any purchases or enter any financial dealings on a co-branded site, you maybe be asked by the third party operator to supply information about yourself and on your financial affairs, including your bank or credit card details. The third party operator will have their own privacy policy and it is up to you to indicate your consent or otherwise of the use to be made by that third party in relation to the use of your personal data. While we select our trading partners with great care, Mediacast cannot be held liable for any loss or damage whatsoever which you may suffer as a result of your decision to enter any dealings or transactions with or supply personal information to a trading partner or ay third party.

Registration
In order to use our full facilities, services and email newsletters you will be required to provide mandatory information so that MCD can supply a reasonable level of service(s) to the end user.

You must ensure that the details provided by you on registration or at any time are correct and complete.

You must inform us immediately of any changes to the information that you provided when registering by updating your personal details.

Username and password security
When you register to use Mediacast you will be asked to create a Username and password. You must keep this Username and password confidential and must not disclose it or share it with anyone. You will be responsible for all activities and orders that occur or are submitted under your account. If you know or suspect that someone else knows your account details you should notify us by contacting Customers services (see below for contact details) immediately.

If MCD has reason to believe that there is likely to be a breach of security or misuse of the site, we may require you to change your Username and password or we may suspend your account.

User Behaviour
No inappropriate (e.g. vulgar, offensive etc) user names. Content must be civil and tasteful. No unlawful or objectionable content: unlawful, harassing, defamatory, abusive, threatening, harmful, obscene, profane, sexually oriented, racially offensive or otherwise objectionable material is not acceptable. if users use inappropriate language as determined by MCD. The users accounts may be suspended or termintated. Adult-oriented content is not permitted at all on MCD services.

Mediacast's right to suspend or cancel your registration
Mediacast may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these terms and conditions. You can cancel this agreement at any time by informing us in writing. If you do so, you must stop using Mediacast.

E-mail Policy
We reserve the right to take such action as we in our sole discretion deem fit in respect of any electronic mail ("e-mail") which contains threatening, abusive, malicious, pornographic, obscene, defamatory or otherwise illegal or inappropriate material. Unless you indicate to the contrary, all e-mails received by us from you are deemed to have been submitted, where appropriate, for publication, free of charge. If we decide to publish an e-mail from you on any of the Websites we will incur no liability to you by doing so. We will not disclose any personal information under any circumstances of any of our staff. Where appropriate we will endeavour to respond to e-mails within 3 days of receipt, but give no warranty that we will respond to any e-mail sent to us.

The suspension or cancellation of your registration and your right to use the Mediacast shall not affect either party's rights or liabilities.

Subscription Packages
Some areas of the MCD websites are only accessible to subscribers ("Subscription Areas").

You should visit the relevant area of the website for more details about access, subscription costs, cancelling your subscription and registration.

Except as set below, the same terms and conditions and privacy policy apply to the Subscription packages as apply to all other parts of MCD's web sites. The information set out in all sections of the website is also incorporated into these terms and conditions.

Costs
The cost of access to the Subscription packages is set out in the pages where you can subscribe. MCD will notify you of any increases in the cost of your subscription to the subscription packages by email.

Formation of contract
No contract will subsist between you and MCD to make the subscription packages available to you unless and until you have submitted your payment details to Worldpay and they have confirmed to us that your account has been debited. There will be a legally binding contract between us and you will be able to access the subscription packages.

You confirm you are over 16 years of age and if you are ordering any service on someone's behalf of have the necessary authority to do so.

MCD reserves the right to change prices listed without notice and also reserves the right to decline to make the Subscription Areas available to any individual, company or other entity.

Cancellation Rights
If you purchase any electronic content via the MCD you will not be entitled to cancel that purchase pursuant to the Consumer Protection Distance Selling Regulations 2000 as the content cannot be returned once sent. If you purchase any other service from the MCD or from Mediacast, you will not be entitled to cancel that service once you have started to receive the service.

If you have subscribed to a MCD website, or any service offered by Mediacast or via the Website, no refunds will be payable on any subscription payments arising out of your cancellation of the subscription. Your cancellation rights in respect to any goods or services offered by a third party will be subject to the terms and conditions of that third party.

Excluded Services
The services provided by Mediacast do not include the provision of computer or other necessary equipment to access Mediacast. To use Mediacast you will require Internet connectivity and appropriate telecommunication links. We shall not be liable for any telephone or other costs that you may incur.

Modifications to Service
MCD reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that MCD shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

No Resale of Service
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

Transferring your rights
You may not assign, sub-license or otherwise transfer any of your rights under these Terms and Conditions.

If any provision of these terms and Conditions and Mediacast ignores this, Mediacast will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms and Conditions.

Mediacast shall not be responsible for any breach of these terms and conditions caused by circumstances beyond its control.

A person which is not party to these terms and conditions shall have no right under the contract (Rights of Third Parties) Act 1999 to enforce any term of these conditions but this shall not affect any right or remedy of a third party exists or is available apart from that act.

Indemnity
You agree to indemnify and keep indemnified MCD from and against all claims, damages, expenses, costs and liabilities arising in any manner from your entry to and use of Mediacast other than in accordance with these terms and conditions.

Law and jurisdiction
If any of these Terms and Conditions should be determined to be illegal, invalid or otherwise unenforceable by reason of the law of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction in which that Term or Condition is illegal, invalid or unenforceable, it shall be severed and deleted from that clause and the remaining terms and conditions shall survive and continue to be binding and enforceable.

These Terms and Conditions shall be governed by and construed in accordance with the laws of England. Disputes arising here from shall be exclusively subject to the jurisdiction of the courts of England.

Termination
You agree that MCD, in its sole discretion, may terminate your password, Account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if MCD believes that you have violated or acted inconsistently with the letter or spirit of this Agreement. MCD may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that MCD may immediately deactivate or delete your Account and all related information and files in your Account and/or bar any further access to such files or the Service. Further, you agree that MCD shall not be liable to you or any third-party for any termination of your access to the Service.

International Use
Mediacast makes no promise that materials on Mediacast are appropriate or available for use in location outside the United Kingdom, and accessing Mediacast for territories where its contents are illegal or unlawful is prohibited. If you choose to access this website from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.
